MMlaw advised Indigo Capital on its minority investment in the Heytens Group, the European leader in bespoke window furnishings.
She has recognised expertise in mergers and acquisitions, private equity, fundraising, joint ventures, restructurings and cross-border transactions. She acts on small- and mid-cap deals as well as large-cap transactions, advising founders, senior management and management teams.
Karine has extensive experience of equity transactions, whether sponsorless or backed by investment funds (including MBOs, LBOs, build-ups, growth capital, venture capital, exits and secondary transactions, and public-to-private deals). She also advises on stock-market and capital-markets issues relating to governance, capital structure and investor exits.
Her practice has a strong international dimension. She assists clients with cross-border M&A, market entry, joint ventures and international partnerships, as well as group restructurings with an international footprint.
Karine is involved at every stage of the value chain: structuring, negotiation, legal risk management, governance and exit. She also works closely with management teams, particularly on the design and negotiation of management packages and in their discussions with investment funds.
She frequently acts in high-pressure situations, in pre- and post-litigation contexts or in the event of shareholder disputes. She is recognised for her ability to identify negotiation levers, break deadlock and steer discussions towards a balanced outcome that allows transactions to be completed.
